  2. ACDBE OVERVIEW What is an Airport Concessions Disadvantaged Business Enterprise (ACDBE)? Requirements for ACDBE Certification

  3. WHAT IS THE ACDBE PROGRAM? The ACDBE Program is a federal program applicable to airports that receive federal funds through grants from the FAA It helps to eliminate barriers for ACDBEs to participate in contracts Participation by ACDBE businesses in concessions should approximate what participation would have been in the absence of discrimination It is not a quota or set-aside program rather, it is goal-based, requiring good faith efforts to meet goals Overall goals are in place for a three-year period Contract goals may be set at varying levels 3 DENVER INTERNATIONAL AIRPORT

  4. WHAT IS AN ACDBE? An ACDBE is a for-profit small business that: Is at least 51% owned by one or more individuals who are both socially and economically disadvantaged; and Whose management and daily business operations are controlled by one or more of the socially and economically disadvantaged individuals who own it Must undergo the certification process through DEN 4 DENVER INTERNATIONAL AIRPORT

  5. WHAT IS A CONCESSION? A Concession is: A business, located on an airport, that is engaged in the sale of consumer goods or services to the public under an agreement with the airport, another concessionaire, or the owner or lessee of a terminal. OR A business conducting one or more of the following covered activities, even if it does not maintain an office, store, or other business location on an airport, as long as the activities take place on the airport: Management contracts and subcontracts Web-based or other electronic business in a terminal An advertising business that provides advertising displays A business that provides goods and/or services to concessionaires 5 DENVER INTERNATIONAL AIRPORT

BENEFITS OF ACDBE CERTIFICATION The benefits of obtaining an ACDBE certification include but are not limited to: Visibility/Exposure Prime concessionaires at airports nationwide Other small businesses The private sector Increased Access to Opportunities Opportunities to bid with prime concessionaires as joint venture partners Potential for Business Growth Certification does not guarantee that you will be successful each time you bid; however, it may add a competitive edge to your bid 8 DENVER INTERNATIONAL AIRPORT

ACDBE CERTIFICATION REQUIREMENTS Qualifying groups must hold at least 51% ownership of the firm African American males & females Native American males & females Pacific Islander males & females Asian males & females Hispanic males & females Anglo females U.S Citizenship US Citizen or lawfully admitted permanent resident(s) Personal Net Worth (PNW) Cannot exceed $1,320,000 (excluding ownership interest in the applicant business and the primary residence) Location Can be located anywhere in U.S. Home state ACDBE certification is required. Size Requirement Business gross receipts cannot exceed $56.4 million dollars per year or other ACDBE size limits (banks, car rentals) Control and Expertise Must have the experience, expertise, and control of the day-to-day operations of the firm Operational for Profit Must be a for profit business 9 DENVER INTERNATIONAL AIRPORT

  17. TERMINOLOGY ACDBE Airport Concession Disadvantaged Business Enterprise Concession Lease premises at the Airport for retail, food and beverage, and service operations. Direct Ownership Arrangement ACDBE owns and controls a concession through a direct lease, joint venture, partnership, sublease or other arrangements. Direct Lease Economic Disadvantage Personal net worth of less than $1.32 million excluding equity in primary residence and applicant business Good Faith Effort (GFE) Efforts to achieve a DBE goal or other requirement of this part which, by their scope, intensity, and appropriateness to the objective, can reasonably be expected to fulfill the program requirement Joint Venture Partner (JV) Partnership agreement where partners share in the capital contribution, control, management, and profits based on ownership DENVER INTERNATIONAL AIRPORT interest. 17

  18. TERMINOLOGY Minimum Investment Amount Minimum amount of construction costs that a business must invest prior to beginning operations. Minimum Qualification Requirements Minimum qualifications that a business must meet in order for its proposal to be responsive. Personal Net Worth Personal net worth means the net value of the assets of an individual remaining after total liabilities are deducted. Excludes personal residence and applicant business. Primes Companies that coordinate concessions through direct leases, partnerships, and licensing agreements with others. Race-Conscious Measures, such as the use of individual contract goals, are those measures and programs that focus on specifically assisting DBEs only. Such as 18 DENVER INTERNATIONAL AIRPORT

  19. TERMINOLOGY Race-Neutral Activities or programs that benefit and assist all small businesses equally, including DBEs. Such activities include bonding, insurance, and technical assistance. Small Business Must meet size standards: Banks and financial institutions: less than $1 billion in assets Car rental companies: Less than $75.23 million average annual gross receipts over the firm's three previous fiscal years Pay telephones: Less than 1,500 employees Automobile dealers: Less than 350 employees All Others: Less than $56.42 million average annual gross receipts over the firm's three previous fiscal years Social Disadvantage Women and members of groups designated by Congress as disadvantaged and others who can demonstrate disadvantage on a case-by- case basis 19 DENVER INTERNATIONAL AIRPORT
