  2. Introduction from the Chair Jill Duff Thank you for showing an interest in becoming a Trustee of New Wine. We are also looking for Trustees who together are exercise all the necessary functions of a charitable Board in 21st Century Britain. That involves financial propriety, good risk management, transparent HR practices, effective safeguarding, appropriate data management and the like. Our Trustees each bring skills and experience to the Board and in exercising their role together they create a culture in which our church leaders and executive staff know they can thrive, know they have professional advice at hand, and are able to work out the agreed strategy to see the vision become a reality. New Wine is not just an event we are a network of leaders, and a family of churches. Our vision is to see local churches changing nations. We are looking for Trustees who will be people who have this vision and these values, people with faith in a God who is able to work miraculously today, people who trust the Bible as the word of God, who are courageous disciples of Jesus, who are sensitive to the Spirit s leading and who are immersed in a church with these values.

Contact details are at the end of this information pack. This information pack is intended for anyone considering joining the Board of New Wine Trust as a Trustee. It provides links to information and induction training materials available from the Charity Commission, which are suited for Trustees of any charitable body, alongside information of the structures and methods of working within New Wine Trust.

  6. Governance Structure - 1 The charity is a company limited by guarantee. It does not have shareholders, but it does have members. Each member is personally liable for a sum of up to 10 should the charity become insolvent and be wound up. The members are entitled to attend the AGM and will vote on a number of resolutions including adoption of the annual accounts and appointment of auditors, together with voting on Trustee appointments. At present all Trustees are members and there are no members who are not serving Trustees. Trustees are responsible for the operation of the charity and function like Directors of a company, but also have responsibilities to safeguard charitable funds. Under its constitution (set out within the Articles of Association), the charity requires a minimum of five trustees. To be quorate, each meetings of Trustees require at least 50% of the number of trustees, or 4 if greater, to be present.

  7. Governance Structure - 2 New Wine also has a subsidiary trading company, New Wine Resources Limited. This company has a Board of Directors comprising the Trustees of the charity. Relationship with National Leader and Staff Team - The National Leader is appointed by, reports to and is accountable to the Trustees. The National Leader is responsible for proposing missional focus and strategic direction of the charity to Trustees for approval. Following this the National Leader is then responsible for managing delivery, alongside the staff team lead and team members. - New Wine Resources Ltd has a single shareholder: New Wine Trust. The whole of the profit earned in a year is distributed to the charity, under Gift Aid rules. - New Wine Resources Limited holds an Annual General meeting, where Trustees of the Charity represent the shareholder in accepting the annual accounts and appointing auditors and Directors, but also act as directors for the preparation and signing of the annual accounts. - Trustees delegate authority, with defined limits, to the staff team for managing day-to-day business.

  8. Board Structure experience. Whilst no one Trustee is expected to hold experience of every area for which the Board is responsible, the Board is assembled to seek coverage and balance across the members appointed and present at meetings. New Wine s Articles of Association require a minimum of five Trustees, but in recent years the number has been around ten. There is no maximum, although increasing the size beyond a dozen will increase the quorum needed and can become unwieldy for management of meetings and availability. Where a Trustee may potentially have a conflict of interest in any business aspect or decision, that potential conflict is to be disclosed and the Trustee would exclude themselves from discussions. The declaration of interests is updated annually. Trustees are selected to present a balance of skills and experience. As a faith-based charity, New Wine seeks a broader experience of churchmanship and business

Board Committees - 1 People & Remuneration Committee - Oversight of remuneration and conditions of employed staff - Setting of senior staff pay - Agreeing annual pay increases - Arranging pay benchmarking reviews, as required from time to time Safeguarding Committee - Oversight of safeguarding across the year - Monitoring of festival practises and safeguarding concerns - Review of policies Trustees meet regularly as a full board, but also convene sub- committees to undertake specific detailed pieces of work, which will then fall to be reported at the next full board meeting. The main sub-committees are: Finance & Investment Committee - The charity s investments and investment strategy, including authorising any movements of more than 100,000 - Setting of Budgets - Monitoring of accounting reserves and cash - Accounting issues

  10. Board Committees - 2 Sub-committees will typically involve 2-3 Trustees with relevant experience, working with the appropriate members of the staff team in order to report back to the main Board, with recommendations and request for approval or ratification of actions, as needed. These committees are convened as needed.

  11. Frequency of Meetings The Board will meet on a bimonthly basis online with 2 meetings in person per year, plus one optional day (usually January) with the New Wine Leadership Community Dates of face-to-face meetings will be communicated well in advance and will be 3 hours in length. Expenses for attendance at these meetings will be covered on application
