  5. WORK GROUP PROCESS Reviewed the current charter Reviewed sample charters from other communities Developed proposals for charter changes Reviewed feedback from the Local Housing Coalitions Suggested final changes to the Governance Charters

  6. CoC Membership Voting on CoC governance decisions Ad Hoc Governance Group Recommending CoC governance decisions Feedback from Community Informing CoC governance decisions Facilitating and helping to inform CoC governance decisions HUD TA with VCEH staff

LHC FEEDBACK PROCESS Reached out to each of the 11 Local Housing Coalitions 9 LHCs scheduled time for feedback with over 200 total participants Presented an overview of the CoC governance work and current structures Presented each of the alternative proposals for Meeting Structure, Committees, Board Make-up, Membership and Voting Collected feedback through discussion and surveys

FEEDBACK HIGHLIGHTS The LHCs consider themselves technically a committee of the CoC but feel very little practical connection Spend a lot of time doing updates, but very little time is spent coordinating, being strategic, focusing on program implementation LHCs don t have sufficient capacity at the local level to support any of the functions of the CoC or strategic planning Local representation at the CoC Board is critical to understanding the experience of homelessness state-wide There are logistical challenges with having both a statewide PLE committee and LHC PLE participation so more planning around this needs to occur There are too many meetings and people aren t clear who the target audience and intent of most meetings are

  9. PROPOSED CHARTER CHANGES

COC MEETINGS OPTIONS Proposed Draft Separate membership and board meetings with clear agenda differences At least two specific membership meetings annually, with hopes for quarterly meetings At least 6 CoC Board meetings annually All meetings are open to members, but focus will be on board responsiblities Current Process A monthly meeting that combines membership, board and non-profit management agenda items Very little participation from LHCs and membership A large focus on updates 10 3/20/2025

  12. LOCAL HOUSING COALITIONS Current Model 11 local housing coalitions are required to elect a representative to the board Proposed Draft No changes to this element 12 3/20/2025

SPECIAL POPULATIONS REPS Proposed Draft 3-6 Special Population positions without specific population designations to allow populations to change as needed Implement a 2 step nomination process that will include a Board Member gaps analysis of which populations and perspectives are missing from other representatives. Then focus on filling gaps with3-6 Special Population reps Special population reps will be nominated by an appropriate committee or group Current Model 1 representative for youths elected by Vermont Coalition of Runaway and Homeless Youth Programs 1 representative for DV/SA selected by Vermont Network Against Domestic and Sexual Violence 1 representative for veterans selected by Veterans Committee 13 3/20/2025

  14. VAHS Current Model 2 representatives elected by the VAHS Including 1 representative from the Department of Mental Health Proposed Draft Reducing to 1 representative from VAHS 14 3/20/2025

HOUSING PARTNERS Current Model 1 representative selected by the Vermont Housing & Conservation Board, Housing Finance Agency & Dept of Housing and Community Development 1 representative selected by the Vermont State Housing Authority Alternative 1 representative selected from all 4 housing partners 15 3/20/2025

SYSTEM MANAGEMENT Current Model 1 representative from the HMIS lead No representative from Collaborative Applicant because the spot was designated by agency versus CA role Proposed Draft Neither HMIS or Collaborative Applicant will have voting board seats HMIS lead and CA staff will participate in the board as staff roles of the CoC 16 3/20/2025

  17. AT-LARGE REPRESENTATIVES Proposed Draft These positions were eliminated in favor of increased Special Population positions Current Model 3 At-large representatives elected by the CoC membership Currently the only board positions selected by the entire CoC membership 17 3/20/2025

  18. SUMMARY Current Model Board Seats: 29 4 seats for officers 2 seats for Persons with Lived Experience Proposed Draft Board Seats: 17-20 Officers will be elected by the board from the elected representatives 2 seats for Persons with Lived Experience

  19. MEMBERSHIP & VOTING

  20. 3 MEMBERSHIP TIERS Voting Individual Member: May not designate additional persons to represent them. Individuals who have a recognized role in a member organization (such as employees, board members, consultants, or current service recipients) may become individual members but may not. Individuals with formal organizational affiliations such as those noted above may be selected to represent the organization with which they are affiliated. Must be a member in good standing to vote Voting Organizational Member: Each organization holds only one vote May designate multiple persons who are authorized to represent the organization in voting An authorized representative must have sufficient authority to speak and vote on behalf of the organization An organizational representative may represent only one organization Must be an organization in good standing to vote Non-Voting Member: Open to any interested agency or individual Multiple individuals affiliated with the same organization may be non-voting individual members This membership does not have a right to vote 20 3/20/2025

  21. MEMBER IN GOOD STANDING Current Model To vote a member must have paid dues Proposed Draft To vote, and individual or organizational representative must participate in at least 1 CoC Membership Meeting Participation in the meeting where the vote is being conducted is sufficient 21 3/20/2025

  22. NEXT STEPS

  23. FINALIZING THE CHARTER CoC staff will be emailing draft charter to membership for feedback Members can email specific or specific feedback to Dusty at dusty_olson@abtassoc.com Feedback must be submitted by November 6th The workgroup will be meeting on November 11th to make any final edits The final charter will be presented to the full membership on November 21st for adoption

  24. ADDITIONAL WORK Revisions to Policies and Procedures Documents Plan for additional budget to provide additional staffing support to Local Housing Coalitions Work with LHC Leadership to develop an infrastructure and communication plan to ensure consistency across LHC and increase communication Conduct strategic planning process including developing a template for LHC strategic plans with shared and independent goals Plan for successful implementation of PLE engagement at both the Balance of State and LHC
