Caring, safe and excellent Council of Governors Development Session - 13 July 2023 Discussion on CoG sub-groups chair, membership, topics of interest Sub-groups were initially developed to support governors to engage in specific areas of interest in more detail and to develop knowledge Emma Short agreed to become chair of Staff Experience Group in January as part of a transition with Anna Gardner. Vicki Power to become chair of Finance sub-group Discussion on direction and focus of sub-groups: There is no requirement to have the sub-group structure as it stands so can evolve and change subject to take up and governor interests and topics prioritised Proposal to develop a pipeline of sub-group task and finish group topics (and/or briefing areas) see table below. Important to align work of sub-groups with focus areas of Board committees and interests of NEDs Finance group has historically been thinly attended so may need to be reviewed for how best to undertake work e.g. replace with scheduled catch-ups with Chris Hurst (chair of Finance & Investment Committee) and Heather Smith (Chief Finance Officer) ahead of Finance & Investment Committees Sub-groups could develop their role over the coming years to be more involved in the initial scoping and drafting of Trust policies and strategies (gives clear role for governors and create option to be involved in tracking progress) Headline topic suggested Comment / Notes Trust approach to improving health inequalities Understanding how the Trust gathers and uses data (including working with other healthcare organisations) towards with partner healthcare providers to improve health equity Collective insight from patient, carer and service user feedback Understand how the range of existing feedback routes across the Trust relate and cohere to provide insight including PALS, IWGC, IMHAs, and others (potentially a briefing topic) Trust financial planning and prioritisation for service investment Awareness of the Trust s financial planning, budgeting and prioritisation processes potential an area for a briefing or training Dementia services Understand the Trust s dementia services and how these work with other healthcare providers how does the pathway work, what is OH s role? Caring, safe and excellent Council of Governors Development Session - 13 July 2023 Governor and Non-Executive Director communication and ways of working Discussion on ways of working and communication between governors and NEDs Aim is to identify what would best help keep each other informed, to clarify/codify communication channels, build effective relationships and assist Governors in their working relationships with NEDs To include suggestion of joint site visits and/or NED involvement in CoG sub-groups Governor and Non-Executive Director working relationships Joint site visits agreed as productive way to build relationships between governors and NEDs action to arrange a schedule of site visits over the coming year / 18 months and to invite NEDs and governors areas of interest to include perinatal services. Important to ensure that site visits don t appear as an inspection balance to strike between questions to ask and opening-up engaging conversations Existing opportunities for governors to attend Board committees is welcomed some governors noted that attending a committee and asking questions can be intimidating at first so they would appreciate support or conversations with relevant leads in advance if possible

Caring, safe and excellent Council of Governors Development Session - 13 July 2023 Governor engagement of/with constituencies Discussion on governor approaches to engaging their constituencies (may differ depending on constituency and sub-group to another) Aim is to discuss and identify what would help support governors with their engagement and involvement work e.g. clarify approaches to visiting sites, promoting the role of governor, attending events, etc Governor engagement of/with constituencies Because of Covid, governors were unable to visit sites as they once did. Now is a good time to review and kickstart how governors want to engage with their constituencies e.g. visits and conversations and the support possible from the Trust. Governors keen for a model approach to be developed to support this and to help communicate the role of governors to staff and patients being visited needs to be friendly and conversational (e.g. 15 steps model) Relevant leads in the Trust to set how the Trust engages and works with charities and third sector groups in particular smaller organisations focused specific conditions, BME groups, and specific service users Options for governors to connect in a more structured way with Trust staff and patient networks / groups including Our Voice groups, young people (e.g. via Unloc youth board or Nurse Cadets) and service user groups Important to develop a feedback loop from/to governors on their work in sub-groups, group site visits and individual visits so that observations and learning can be shared back to other governors and to inform the work of the council as a whole

Caring, safe and excellent Council of Governors Development Session - 13 July 2023 Training and information sessions Discussion to identify governor training interests and topics for information sessions and how to provide these e.g. virtual group session or webinars Aim is to begin the development of a programme for the forthcoming year with a mix of external (e.g. NHS Provider s GovernWell courses) and internally developed sessions (e.g. on Mental Health Act, Patient Safety Incident Response framework, Quality Improvement, CQC Framework, Research) Training programme / offer and information sessions Support for a scheduled (approx. 12-18 months) of training calendar and information sessions (mixed model of external and internally provided). Topics of interest: Finance, financial planning, financial risks and commissioning Questioning and effective conversation techniques Effective working with NEDs Integrated Care Systems Buckinghamshire, Oxfordshire & Berkshire West Integrated Care Board Links to professional bodies Key summaries and key information on Trust services Mental Health, Learning Disabilities and Community Services Trust research work and ambitions Trust estates and strategic estates planning Care Quality Commission framework and quality standards Mental Health Act Staff journey through first year of working in the NHS and/or Oxford Health (seeing staff as shareholders in the Trust) NHS Providers run focused training sessions for governors and can also provide tailored sessions to groups of Trust governors on topics such as: NHS finance, member and public engagement, accountability, and effective questioning
